These Terms of Service (“Terms”) govern your access to and use of the Payroll software-as-a-service ("Service") provided by Ascentree Services Ltd, a company registered under the laws of the Federal Republic of Nigeria. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

1. Use of the Service

1.1 Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use our Service.

1.2 Account Registration

You may be required to register an account. You are responsible for all activities that occur under your account and must maintain the confidentiality of your login details.

1.3 Licence Grant

Upon payment of applicable subscription fees, we grant you a non-exclusive, non-transferable licence to access and use the Service in accordance with these Terms.

2. Subscription and Payment

2.1 Subscription Plans

We offer various subscription plans as detailed on our website. Fees are billed in Nigerian Naira (?) and may be subject to applicable VAT and other statutory levies.

2.2 Billing & Renewals

Subscriptions automatically renew unless cancelled prior to the end of the current billing period. By subscribing, you authorise us to charge the selected payment method at renewal.

2.3 Cancellations & Refunds

You may cancel your subscription at any time. However, fees paid are non-refundable unless otherwise required under Nigerian law.

3. Data Privacy and Protection

We are committed to protecting your data and ensuring your rights under the Nigeria Data Protection Act (NDPA) 2023.

  • You retain ownership of all Payroll data uploaded into the system.
  • We act as a data processor and will only process your data in accordance with your instructions and our Privacy Policy.

4. Customer Obligations

  • You must ensure that your use of the Service complies with all applicable Nigerian laws.
  • You must not upload unlawful, defamatory, or harmful content.
  • You may not use the Service to compete with or reverse-engineer our software.

5. Service Availability

We strive to ensure 99.9% uptime. However, we may suspend access temporarily for maintenance, upgrades, or emergencies without liability. We will endeavour to notify you in advance of planned outages.

6. Intellectual Property

All software, branding, documentation, and other content associated with the Service is the exclusive property of Ascentree Services Ltd or its licensors. You may not copy, reproduce, modify, or distribute any part of the Service without our prior written consent.

7. Termination

We may suspend or terminate your account for:

  • Non-payment
  • Breach of these Terms
  • Unlawful use of the platform

Upon termination, your access to the Service will be revoked. You are responsible for downloading or exporting any data before termination.

8. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • We shall not be liable for indirect, incidental, or consequential damages.
  • Our total liability for any claims arising out of or relating to these Terms shall not exceed the amount paid by you in the preceding 3 months.

9. Indemnity

You agree to indemnify and hold harmless Ascentree Services Ltd, its directors, employees, and affiliates from any claims, losses, or damages resulting from your use of the Service or breach of these Terms.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or the platform. Continued use of the Service after such changes constitutes acceptance.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved by negotiation in good faith. If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Mediation Act 2023 in Lagos, Nigeria.
